Terms and Conditions

                 These Terms of Use (“Terms”) govern your use of the Independent Expenditure Disclosure System (“IEDS”) and the content and materials associated therewith. You should read these Terms carefully, as by using the IEDS, you accept and agree to be bound by these Terms. The New York City Campaign Finance Board (“CFB”) reserves the right to terminate, suspend, or otherwise restrict your use of the IEDS, without notice, for any reason whatsoever, including, but not limited to terminating inactive accounts, accounts that the CFB suspects are operating in violation of these Terms, or accounts that we suspect might disrupt others’ use of the IEDS.

Prohibited Actions

You agree not to use the IEDS for any unlawful activity, including, but not limited to the distribution of malware, spyware, or viruses. Unauthorized use of this system may result in civil penalties or criminal prosecution or both.

Limitations on Use

You agree to use the IEDS for the purpose of filing independent expenditure disclosure statements only. You must not exceed your access to the IEDS as authorized by the CFB.


You agree that you are responsible for safeguarding your IEDS password. You may change your password at any time. The CFB does not have access to your password. If you forget your password, contact the CFB to have it reset.

All data entered into the IEDS is encrypted using an encryption key selected by your account administrator. The CFB does not have access to and cannot recover your encryption key, and cannot view, copy, or restore encrypted data. Losing your encryption key will result in the permanent loss of any data not previously submitted to the CFB. If you forget your encryption key, contact your account administrator. If you are the account administrator, contact CFB to change your encryption key or if you have forgotten your encryption key.

You are responsible for any activity using your account, whether or not you authorized that activity.

You must promptly notify CFB staff of any breach of security related to the IEDS, including, but not limited to, unauthorized use of your password or account. To help ensure the security of your password or account, please sign out from your account at the end of each session. Do not save your account information on public or shared computers.

You agree that if you wish to protect your transmission of data or files to the IEDS, it is your responsibility to use a secure encrypted connection.


The CFB strives to provide bug-free, safe, and uninterrupted service. However, the IEDS is provided “as-is” and without warranty of any kind. Your use of the IEDS is at your own risk. You agree that you are solely responsible for any damage or any loss of data that results from your use of the site. The CFB is not responsible for the accuracy of data and information that you enter or submit to the IEDS. The CFB expressly disclaims all warranties of any kind, either implied or express, including any warranty that any part of the site or service will be uninterrupted, error-free, virus-free, timely or accurate, or that content is safe in any manner for download.

System Requirements

The IEDS is designed to run on Internet Explorer (version 8 or above), Mozilla Firefox (10) and Google Chrome. JavaScript must be enabled, and your browser must allow session cookies. If you select the “Remember Me” option on the home page, your browser must allow tracking cookies.

Governing Law

These Terms are governed by the laws of the State of New York applicable to contracts made and performed within the State without regard to its conflicts of law principles. By using the IEDS, you irrevocably agree to submit to the personal and exclusive jurisdiction of the federal and state courts located in the County and State of New York with respect to any dispute arising under these Terms and waive objections for any reasons to the jurisdiction of those courts.

General Provisions

These Terms, along with the Independent Expenditure Filer Verification Form and the IEDS Electronic Verification, constitute the entire agreement between the parties regarding the provision and use of IEDS and supersede all other agreements (oral or written) between you and the CFB applicable to IEDS. Failure to enforce these Terms does not constitute a waiver of the right to enforce them in the future. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the intentions reflected in the provision, and the other provisions of these Terms remain in full force and effect.
